Terms of Service

These Terms of Service (“Terms”) govern access to and use of AdeHQ, a service operated by NexCache Limited, a company registered in England and Wales under company number 16831347 with registered office at C/O 43 High Street, Marlow, England, SL7 1BA (“NexCache”, “AdeHQ”, “we”, “us”, or “our”).

By accessing or using AdeHQ, you agree to these Terms. If you use AdeHQ on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

1. What AdeHQ is

AdeHQ is an AI workforce workspace. It allows users to create workspaces, invite human teammates, hire AI employees, organise work in rooms and topics, send messages, upload files, use AI tools, generate artifacts, create tasks, save memory, request approvals, and track work through logs.

AdeHQ is not a law firm, financial adviser, medical provider, employment agency, or regulated professional service provider. AI outputs are generated by automated systems and should be reviewed before being relied on.

2. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use AdeHQ unless we expressly agree otherwise.

You must notify us promptly if you believe your account has been compromised.

3. Workspaces and roles

AdeHQ uses workspaces to organise users, AI employees, rooms, topics, files, tasks, memory, approvals, billing, and usage.

Workspace owners and administrators may manage members, roles, settings, billing, AI employees, tools, and workspace content. You are responsible for assigning appropriate roles and permissions inside your workspace.

If you join a workspace controlled by another organisation, that organisation may control your access and may view or manage workspace content according to its settings and policies.

4. AI employees and AI outputs

AdeHQ allows you to create and interact with AI employees. AI employees may generate messages, reports, drafts, tasks, memories, recommendations, plans, research summaries, code suggestions, and other outputs.

AI outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for your specific use case. You are responsible for reviewing, verifying, and approving AI outputs before relying on them or using them externally.

You must not treat AI outputs as professional legal, financial, medical, tax, employment, safety, or regulatory advice. You should consult qualified professionals where appropriate.

5. Human approval for sensitive actions

AdeHQ is designed to use approval gates for sensitive actions. Unless we explicitly provide otherwise, AI employees must not be treated as authorised to:

• send external emails without approval
• publish social media or public content without approval
• make purchases
• enter contracts
• provide regulated advice
• access sensitive tools beyond granted permissions
• delete or modify important data
• make employment, credit, insurance, housing, legal, medical, or similarly significant decisions

You are responsible for configuring and enforcing appropriate approval processes.

6. User content

“User Content” means content you or your authorised users submit to AdeHQ, including messages, files, prompts, workspace data, tasks, memory, approvals, artifacts, tool outputs, and integration data.

You retain ownership of your User Content. You grant us a limited licence to host, process, transmit, display, reproduce, and use User Content as necessary to provide, secure, support, and improve AdeHQ, comply with law, and enforce these Terms.

You represent that you have all rights, permissions, and lawful bases required to submit User Content and allow us to process it.

7. AdeHQ content and intellectual property

AdeHQ, including software, designs, interfaces, workflows, branding, documentation, models of operation, and related materials, is owned by NexCache Limited or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use AdeHQ for your internal business or personal productivity purposes.

You must not:

• copy, modify, reverse engineer, or create derivative works of AdeHQ except as permitted by law
• remove proprietary notices
• use AdeHQ to build a competing product by copying our features, workflows, interface, or proprietary systems
• access AdeHQ using automated means except through approved APIs
• interfere with or disrupt the service

8. Acceptable use

You must not use AdeHQ to:

• violate laws or regulations
• infringe intellectual property, privacy, publicity, or contractual rights
• generate, upload, or distribute unlawful, harmful, abusive, deceptive, or malicious content
• send spam, phishing, or unauthorised outreach
• scrape protected data or bypass access controls
• upload malware or harmful code
• attempt unauthorised access to systems or data
• abuse, overload, or disrupt AdeHQ or third-party providers
• use AI features for high-risk decisions without appropriate human review and legal compliance
• misrepresent AI-generated content as human-created where disclosure is legally required

9. Plans, billing, and AI Work Hours

AdeHQ may offer free and paid plans. Paid plans may include weekly AI Work Hours, storage, browser/search usage, model access, integrations, and other entitlements.

AI Work Hours are a business-friendly measure of hosted AI capacity. They are not literal human work hours, clock time, guaranteed output volume, or a promise of a specific number of AI responses. Heavier work, stronger intelligence modes, larger context, browser research, file processing, image/video/audio features, and integrations may consume more AI Work Hours.

Unless stated otherwise:

• plan entitlements reset weekly or monthly according to the plan
• unused AI Work Hours do not roll over
• subscriptions renew automatically unless cancelled
• fees are non-refundable except as required by law or expressly stated
• we may update pricing or plan features with reasonable notice
• usage limits may apply to protect the service and prevent abuse

Billing may be handled through third-party providers such as Revolut Pay. Their terms may also apply.

10. Free plans and beta features

Free plans, trials, credits, beta features, browser agents, integrations, and experimental tools may be limited, modified, suspended, or discontinued at any time.

Beta features are provided for testing and may be unstable, incomplete, or changed without notice.

11. Integrations and third-party services

AdeHQ may integrate with third-party services, including AI model providers, search providers, browser automation providers, payment providers, file storage, email, calendar, social media, code hosting, and productivity tools.

Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of your data except as required by law.

You are responsible for ensuring you have the right to connect third-party accounts and grant AdeHQ access.

12. Availability and changes

We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue any part of AdeHQ. Where practical, we will provide reasonable notice for material changes that affect paid customers.

13. Suspension and termination

We may suspend or terminate access if:

• you breach these Terms
• you create security, legal, or operational risk
• payment fails
• your use may harm AdeHQ, users, or third parties
• required by law
• your account is inactive for an extended period

You may stop using AdeHQ at any time. Workspace owners may delete workspaces subject to retention, backup, and legal requirements.

14. Disclaimers

AdeHQ is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

We do not guarantee that AI outputs will be accurate, complete, reliable, safe, lawful, or suitable for your use case.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Limitation of liability

To the maximum extent permitted by law, NexCache Limited and its affiliates, officers, employees, suppliers, and licensors will not be liable for:

• indirect, incidental, special, consequential, exemplary, or punitive damages
• loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data
• business interruption
• cost of substitute services
• damages arising from AI outputs, third-party services, or user decisions based on AI outputs

Our total aggregate liability arising out of or relating to the service will not exceed the greater of:

• the amount you paid us for AdeHQ in the 12 months before the event giving rise to liability; or
• £100

This limitation does not apply where liability cannot legally be limited.

16. Indemnity

If you use AdeHQ on behalf of a business or organisation, you agree to indemnify and hold harmless NexCache Limited from claims, damages, liabilities, costs, and expenses arising from:

• your User Content
• your misuse of AdeHQ
• your breach of these Terms
• your violation of law or third-party rights
• your use of AI outputs or integrations

17. Consumer rights

If you are a consumer, you may have mandatory legal rights that cannot be excluded. Nothing in these Terms affects those rights.

AdeHQ is primarily intended for business and professional use. Some features may not be suitable for consumer use.

18. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protection laws provide otherwise.

19. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the effective date. Continued use of AdeHQ after changes take effect means you accept the updated Terms.
